DOES YOUR COMPANY COMPLY WITH THE STATUTES UNDER WHICH IT WAS FORMED?
• Do you hold annual shareholders meetings?
• How often do you file annual reports with the Secretary of State?
• When were your bylaws approved?
• How many board meetings did you hold last year?
• How many shareholders does you company have? Where do you keep the Shareholders Register?
• Were the officers of your company appointed by a resolution of the board? Can you provide a copy of this resolution?
• Have the corporate benefits you enjoy been properly voted?
• Have loans between you and your company been authorized in writing?
• Do you have resolutions authorizing your own salary?
If you don't know the answers to the above questions, it's very likely that you need a Corporate Secretary.
